Terms of Service

1. Agreement to Terms

By accessing or using CloudPruneAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

CloudPruneAI is an AWS cost optimization platform that analyzes your AWS infrastructure, identifies cost-saving opportunities, and generates CDK (Cloud Development Kit) code to implement optimizations. The Service requires read-only access to your AWS account through an IAM role.

3. Account Registration

To use the Service, you must:

• Create an account with accurate information
• Be at least 18 years old
• Have authority to connect the AWS account(s) you register
• Keep your account credentials secure
• Notify us immediately of any unauthorized access

4. AWS Account Access

4.1 IAM Role Requirements

You authorize CloudPruneAI to access your AWS account through a read-only IAM role that you create. This role must include the ReadOnlyAccess managed policy and Cost Explorer permissions as specified in our documentation.

4.2 Our Commitment

• We will only use read-only access; we will never modify your resources
• We will only access data necessary for cost analysis
• We will not access the content of your data (e.g., S3 objects)
• You can revoke access at any time by deleting the IAM role

5. Pricing and Payment

5.1 Report Unlock (Tiered Pricing)

Initial scan is free. You can see a summary of potential savings by service. To unlock full details and CDK code, a one-time payment is required based on the following tiered structure:

• Under $500/month savings: Flat fee of $49
• $500 - $50,000/month savings: 15% of detected monthly savings
• Over $50,000/month savings: 7.5% of detected monthly savings

5.2 Monthly Subscription (Optional)

• $99/month subscription is available after unlocking your first report
• Includes unlimited scans with full details, weekly automatic scans, and alerts
• Up to 5 AWS accounts included
• Billed monthly; cancel anytime

5.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees. All fees are non-refundable except as required by law.

6. Generated Code

6.1 License

CDK code generated by CloudPruneAI is provided to you under the MIT License. You may use, modify, and distribute the generated code without restriction.

6.2 Disclaimer

Generated code is provided "as is." While we strive for accuracy, you are responsible for reviewing and testing any code before deploying it to your AWS environment. We recommend deploying to a staging environment first.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile the Service
• Use the Service to harm others or their infrastructure
• Resell or redistribute the Service without authorization
• Submit false information or fraudulent AWS accounts
• Circumvent rate limits or abuse the Service

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by CloudPruneAI and protected by intellectual property laws. Our trademarks may not be used without prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT RECOMMENDATIONS WILL RESULT IN SPECIFIC SAVINGS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDPRUNEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless CloudPruneAI from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately, but previously generated code remains yours under the MIT License.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits are waived to the extent permitted by law.
