Terms of Service

1. Agreement to Terms

By accessing or using CloudPruneAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the platform, including individual users, Workspace owners, and users invited to a Workspace by its owner (a "Workspace" is the account container for one or more connected cloud accounts; it may represent an individual practitioner, an in-house team, or a consultancy / MSP serving multiple clients).

2. Description of Service

CloudPruneAI is a multi-cloud cost optimization platform that analyzes cloud infrastructure (AWS and Azure as of the date of these Terms; additional providers added per roadmap) in read-only mode, identifies cost-saving opportunities, and generates Infrastructure as Code (IaC) — including Terraform, CloudFormation and AWS CDK for AWS, and Terraform AzureRM and Bicep for Azure — to implement optimizations. Users self-register a Workspace and connect one or more cloud accounts / subscriptions to it. A Workspace may represent an individual practitioner, an in-house team, or a consultancy / MSP delivering optimization services to third-party clients. The Service requires read-only access using each provider's native least-privilege authentication (IAM role for AWS; App Registration + Service Principal for Azure).

3. Account Registration and Access

To use the Service, you must:

• Create an account with accurate information
• Be at least 18 years old
• Have authority to connect the cloud account(s) you register
• Keep your account credentials secure
• Notify us immediately of any unauthorized access

Registration is self-serve: creating an account automatically provisions a Workspace under your ownership. We reserve the right to suspend or revoke access for violation of these Terms, non-payment, or misuse of the platform.

If a Workspace owner invites you as an analyst, your account will be associated with their Workspace. The Workspace owner may manage your access level and permissions within the platform.

4. Cloud Account Access

4.1 Authentication Requirements

You authorize CloudPruneAI to access cloud accounts and subscriptions in read-only mode using each provider's native least-privilege mechanism:

• AWS: a read-only IAM role with an External ID unique to your organization, including the ReadOnlyAccess managed policy and Cost Explorer permissions as specified in our documentation. Long-lived AWS access keys are never stored — temporary STS credentials are obtained at scan time and discarded.
• Azure: an App Registration + Service Principal in your Microsoft Entra ID tenant, with the built-in Reader and Cost Management Reader roles assigned at the target subscription scope. The Service Principal client secret is encrypted at rest in AWS Secrets Manager under a path scope-limited per connected account.

4.2 Authorization to Connect Third-Party Accounts

If you connect a cloud account or subscription that does not belong to you (for example, a client's account under a consultancy engagement), you represent and warrant that you have obtained proper authorization from the cloud account / subscription holder to grant CloudPruneAI read-only access. You are solely responsible for obtaining and maintaining this authorization.

4.3 Our Commitment

• We will only use read-only access; we will never modify your resources
• We will only access data necessary for cost analysis
• We will not access the content of your data (e.g., S3 / Blob objects, database records, secret values, log content)
• The cloud account / subscription holder can revoke access at any time — by deleting the IAM role (AWS) or the App Registration (Azure)

5. Pricing and Payment

5.1 Free Tier

Every Workspace includes one (1) connected cloud account (AWS or Azure) at no charge, with full access to all product features: unlimited scans, complete reports with resource identifiers, generated Infrastructure as Code (Terraform / CloudFormation / AWS CDK for AWS; Terraform AzureRM / Bicep for Azure), PDF export, and (where applicable) Workspace branding. No payment is required to use the Service with one connected account.

5.2 Pro Plan (Additional Accounts)

Connecting additional cloud accounts to your Workspace requires a Pro plan subscription. Pricing is tiered graduated: the first connected account is included at no charge, and each additional connected account is billed at USD $49 per month. Charges accrue automatically when you connect an additional account and prorate for partial billing periods, per Stripe's standard proration behavior.

Example: a Workspace with 3 connected accounts is billed 1 × $0 + 2 × $49 = USD $98 per month.

5.3 Payment Method

Payment is processed via credit card through Stripe Checkout. Recurring monthly charges are billed automatically on the anniversary of your subscription start date. Failed payments follow Stripe's standard retry schedule; if payment cannot be recovered, access to paid accounts is suspended until the balance is settled, while your Workspace and its included free account remain available.

5.4 Price Changes

CloudPruneAI reserves the right to modify pricing with 30 days' prior notice, communicated by email and through the Service. Changes apply from the next billing cycle following the notice period. If you do not accept a price change, you may cancel your Pro subscription before the change takes effect and continue using the free tier.

5.5 Refund Policy

Pro plan subscription fees are non-refundable. You may cancel your Pro subscription at any time through the Billing section of your dashboard or the Stripe Customer Portal; cancellation takes effect at the end of the current billing cycle, and you retain access to all paid accounts until that date. No refund is issued for the remainder of the billing period.

5.6 Billing Portal

You can view invoices, update your payment method, cancel your subscription, and manage billing through the Stripe Customer Portal, accessible from the Billing section of your dashboard.

6. Generated Code and Reports

6.1 Generated IaC Code License

Infrastructure-as-code generated by CloudPruneAI (Terraform, CloudFormation, AWS CDK for AWS; Terraform AzureRM, Bicep for Azure) may be used, modified, and deployed freely by you and your clients without restriction.

6.2 Reports

Reports generated by CloudPruneAI (including PDF reports with Workspace branding) are licensed for use within your Workspace and, where applicable, with the clients whose accounts you have connected under proper authorization. You may not redistribute reports to unrelated third parties or to other Workspaces.

6.3 Disclaimer

Generated code and reports are provided "as is." While we strive for accuracy, you are responsible for reviewing and testing any code before deploying it to any cloud environment (AWS or Azure). We recommend deploying to a staging environment first.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Scan cloud accounts without proper authorization from the account holder
• Attempt to gain unauthorized access to our systems or other users' data
• Reverse engineer or decompile the Service
• Use the Service to harm others or their infrastructure
• Resell or sublicense access to the CloudPruneAI platform itself to third parties
• Share reports with unauthorized third parties or with other Workspaces
• Submit false information or connect fraudulent cloud accounts
• Circumvent rate limits or abuse the Service
• Present CloudPruneAI as your own product (co-branding your reports and PDF exports with your own Workspace identity is permitted and encouraged)

8. Workspaces Serving Third-Party Clients

A Workspace may be used by a consultancy, MSP, agency, or independent practitioner to deliver cost optimization services to third-party clients. When operating a Workspace in this mode:

• You are responsible for obtaining authorization from clients before connecting their cloud accounts (see §4.2)
• You may present reports and PDF exports with your organization's branding to your clients (white-label)
• You retain ownership of your client relationships and consulting deliverables
• Data from accounts connected to your Workspace is strictly isolated and not visible to other Workspaces
• CloudPruneAI will not directly contact your clients identified through the platform without your consent

9. Intellectual Property

The Service, including its algorithms, analyzers, and functionality, is owned by CloudPruneAI and protected by intellectual property laws. Our trademarks may not be used without prior written consent. Workspace owners retain ownership of their client relationships, consulting methodologies, and deliverables created using our reports as a basis.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SAVINGS ESTIMATES ARE BASED ON AUTOMATED ANALYSIS OF INFRASTRUCTURE METRICS FROM THE PREVIOUS 14 DAYS AND DO NOT CONSTITUTE A GUARANTEE OF ACTUAL SAVINGS. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDPRUNEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. CLOUDPRUNEAI IS NOT RESPONSIBLE FOR DECISIONS MADE BASED ON REPORTS, CODE DEPLOYED WITHOUT ADEQUATE TESTING, OR INTERRUPTIONS CAUSED BY THIRD-PARTY PROVIDERS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CloudPruneAI from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, unauthorized scanning of cloud accounts, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service for violation of these Terms, repeated non-payment, or misuse of the platform. You may stop using the Service at any time by cancelling your Pro subscription (see §5.5) and, if desired, deleting your account (see the Privacy Policy for details). Upon termination, previously generated reports remain available for download for 90 days, subject to your data being retained per the Privacy Policy. Outstanding Pro subscription charges accrued up to the end of the current billing cycle remain due. Previously generated IaC code remains yours without restriction.

14. Changes to Terms

We may modify these Terms with 30 days' prior notice. Material changes will be communicated via email or through the Service. Continued use after the notice period constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits are waived to the extent permitted by law.
